These Terms of Service ("Terms") govern your access to and use of the MaoGon sourcing platform (the "Platform"), operated by Jasper Derieuw, sole proprietor, with registered office at Aartrijkestraat 101, 8820 Torhout, Belgium, and principal place of business in Ghent, Belgium, VAT BE1032392180 ("MaoGon", "we", "us"). By creating an account or using the Platform, you ("you", "Client") agree to be bound by these Terms.
By ticking the acceptance checkbox at signup, you confirm that you have read, understood, and agree to these Terms, the Privacy Policy, and the Master Sourcing Services Agreement. We may amend these Terms from time to time. Material changes will be communicated by email and in-platform notice at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
The Platform is offered to both businesses (B2B) and consumers (B2C). By registering you represent that:
Registrations are subject to MaoGon's approval. We may decline or revoke an account at our discretion, including for failure to meet KYC checks, regulatory concerns, or breach of these Terms. Approved accounts may, at our discretion, be admitted to the founding cohort with locked pricing terms as described at signup.
Consumer rights notice (B2C): If you register as a consumer, mandatory consumer-protection rights under Belgian law and EU directives (including the right of withdrawal where applicable, conformity guarantees, and the unfair-contract-terms rules) apply and are not affected by these Terms. Where any clause conflicts with mandatory consumer law, that clause is read down to the minimum extent necessary for compliance, and the remainder of these Terms continues to apply. Note that the right of withdrawal under Art. VI.47 of the Belgian Code of Economic Law does not apply to goods manufactured to the consumer's specifications or clearly personalised, which covers most bespoke sourcing orders.
Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable, revocable licence to access and use the Platform for your internal business purposes. You may not:
Plan tiers (Starter, Growth, Enterprise) and associated fees are displayed in-platform and on our pricing page. Founding-cohort members receive the locked pricing terms communicated at the time of admission. Subscription fees, where applicable, are billed monthly or annually in advance and are non-refundable except as required by law. Per-order commercial terms (commission, advance payment, milestones) are governed by the SSA.
Payments are processed by Mollie B.V. ("Mollie"), our payment service provider. By making a payment you also accept Mollie's terms. Late payments may incur statutory commercial interest under Belgian law (Law of 2 August 2002 on combating late payment in commercial transactions) and recovery costs. We may suspend access in case of overdue invoices.
The Platform, including its software, design, content, trademarks, and supplier intelligence (supplier identities, vetting data, anonymised supplier codes), is and remains the exclusive property of MaoGon. No rights are granted to you other than the limited licence in Section 4. You retain ownership of your own content (product specifications, files, brand assets) and grant MaoGon a worldwide, royalty-free licence to use such content solely as necessary to provide the Services.
Supplier identities, contact details, factory locations, and pricing intelligence are MaoGon's confidential information and a core asset of the Platform. You may not attempt to identify, contact, solicit, or engage MaoGon-introduced suppliers directly, whether during the engagement or for a period of 24 months after the last Order with that supplier. Breach of this Section may give rise to liquidated damages as set out in the SSA.
To the maximum extent permitted by law, the Platform is provided "as is" and "as available". We do not warrant that the Platform will be uninterrupted, error-free, or meet your specific requirements. While we use reasonable efforts to identify reliable Suppliers and ensure EU compliance, MaoGon does not manufacture the goods and is not the legal producer or importer-of-record unless explicitly agreed in writing in the SSA. Statutory consumer rights (where applicable) are not affected.
To the maximum extent permitted by law, MaoGon's aggregate liability under or in connection with these Terms (whether in contract, tort, or otherwise) is limited to the greater of (i) the fees paid by you to MaoGon for the Service or Order giving rise to the claim in the 12 months preceding the claim, or (ii) €5,000. MaoGon shall not be liable for indirect, incidental, consequential, or special damages (including lost profits, lost data, loss of goodwill, business interruption). Nothing in these Terms limits liability for death, personal injury caused by negligence, fraud, gross negligence, or any other liability that cannot be excluded by law.
You agree to indemnify and hold harmless MaoGon, its representatives and contractors from any third-party claim arising out of (i) your breach of these Terms or the SSA, (ii) your unlawful or infringing use of the Platform, (iii) the content or specifications you submit, including any IP infringement claim, and (iv) your failure to comply with applicable laws regarding the goods ordered, including post-import obligations.
These Terms apply for as long as you have an account. Either party may terminate the account on 30 days' written notice. We may suspend or terminate immediately for material breach, payment default, or suspected fraud or sanctions exposure. Termination does not affect Orders already in progress, which remain governed by the SSA, and does not relieve you of accrued payment obligations. Sections 8, 9, 11, 12, 14, 15, and 16 survive termination.
Neither party is liable for failure to perform caused by events beyond reasonable control, including acts of God, war, terrorism, civil unrest, sanctions, embargoes, pandemics, supplier insolvency, customs strikes, internet or payment-network outages.
These Terms are governed by Belgian law, excluding its conflict-of-laws rules and excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any dispute that cannot be resolved amicably within 30 days will be subject to the exclusive jurisdiction of the courts of Ghent (Gent), Belgium.
